The following is an agreement between Radiant Power Corp. ("Radiant") the recipient of the all of the information contained herein (the "Information"). The Information is proprietary and confidential information owned exclusively by Radiant Power Corp. ("Radiant") and the recipient of the Information agrees to and acknowledges the foregoing. The Information may be utilized only by parties expressly authorized by Radiant for reference use only and the recipient shall not reproduce in any form or disseminate the Information to any party who lacks such express authorization from Radiant. Radiant makes no express or implied warranty of the accuracy or correctness of any information contained herein and the recipient of this information agrees that Radiant shall have no liability whatsoever for any costs, claims, damages, accidents, injuries, loss of property, loss of life, suits, losses, proceedings, regulatory actions or any other expenses arising from the recipient's use of the Information. By viewing the Information, the recipient agrees to indemnify and hold Radiant harmless from any costs, claims, damages, accidents, injuries, loss of property, loss of life, suites, losses, proceedings, regulatory actions or any other expenses arising from recipient's use of the Information. By viewing the Information, the recipient agrees that it shall not disclose or provide any of the Information to any party not expressly authorized by Radiant to receive or view the Information. The Information is maintained and accessed in Manatee County, FL and the Recipient agrees to be bound exclusively by the jurisdiction of the Courts of the State of Florida in and for Manatee County for any legal dispute relating to the Information and that venue in such courts is the exclusive venue for resolution of any such dispute. The recipient agrees that any dispute between it and Radiant concerning the Information shall be governed by and construed in exclusively in accord with the internal laws of the State of Florida and that monetary remedies will be insufficient to remedy any breach or threatened breach of this agreement and that injunctive or similar equitable relief is appropriate to remedy such breach or threatened breach. In the event of any litigation between Radiant and Recipient relating to the Information, the prevailing party in such litigation shall be reimbursed by the non-prevailing party for all of the prevailing party's legal costs and attorneys fees.
